ON LOCATION AGREEMENT
PHOTOGRAPHY AGREEMENT & IMAGE LICENCE
The Mighty Studio, Portrait Session for UJA
This Agreement is made as of [date], between Hailey York, operating as The Mighty Studio, 63 Wingold Ave, Unit 111, Toronto, ON (the "Photographer"), and [UJA legal name] (the "Client" or "UJA"). It also serves as the image release referenced in our correspondence.
Engagement & Scope
The Client engages the Photographer to create portrait photographs of the individuals it identifies (the "Subjects") for the Client's use as set out below (the "Project").
(a) Shoot date: Friday, August 14, 2026.
(b) Location: The Mighty Studio, 63 Wingold Ave, Unit 111, Toronto. Subjects use the Photographer's private rear entrance.
(c) Sittings: seven (7) total. Adam and Ken are photographed together; the remaining Subjects individually. The Client confirms the final list before the shoot.
(d) Style: studio portraits on a dark backdrop, delivered in colour and black-and-white.Schedule
Shot in a single day so lighting and setup stay consistent. Each sitting is 30 minutes; all seven run back-to-back within a four-hour block (earliest start 9:30 a.m.). The Client organizes and schedules all Subjects within that block and ensures each arrives on time. Late arrivals may be shortened at the Photographer's discretion so the following Subjects aren't affected.Deliverables
(a) Retouched, print-ready final images (the "Images"), [number] per Subject, in colour and black-and-white.
(b) Delivered via online gallery within one (1) week of the shoot.
(c) Final retouched files only. RAW, unedited, or unprocessed files are never provided, under any circumstances, and form no part of the deliverables.Creative Control
Selection, retouching, and all editing are at the Photographer's sole creative discretion; her edited files are the finished work. The Client will not crop, recolour, filter, overlay, or otherwise materially alter the Images (including the black-and-white treatment) without the Photographer's written consent. Resizing and standard layout that preserves the image are fine.Copyright
The Photographer retains full copyright and ownership of all photographs, in every form, at all times. Nothing here transfers copyright to the Client. The Client's rights are limited to the licence in Section 6.Licence to UJA
Subject to Section 7 (Credit), the Photographer grants UJA a perpetual, worldwide, royalty-free, non-exclusive licence to use, reproduce, and display the Images across all of UJA's own materials, print and digital, with no time limit, including marketing, communications, fundraising, editorial, web, and social media.
(a) For UJA's own use. UJA will not sell, sublicense, or transfer the Images to any third party for that party's independent commercial use.
(b) When UJA provides an Image to media or partners for the Project, the Section 7 credit must accompany it.
(c) Future projects or additional uses are negotiated separately, case by case.Credit (condition of the licence)
The Client will credit the Photographer on every use, print, digital, or otherwise, using this exact wording:

Pass the correct spelling, Hailey, to any designer. If credit is omitted, the Photographer may require the use corrected or removed; repeated or uncorrected failure to credit is a material breach that suspends the licence for that use until fixed.Subject Consent
The Client confirms it has, or will obtain before the shoot, each Subject's consent to be photographed and to UJA's use of the Images as described here. The Client is responsible for its Subjects' participation and consent.Photographer's Promotional Use
The Photographer may use the Images to promote her own work (portfolio, website, social media, exhibitions, award or competition submissions), with credit to Subjects and UJA where relevant, and will coordinate where a Subject has asked not to be shown publicly.Cancellation
If the Client cancels or reschedules, it will give as much notice as possible. Hard costs already incurred remain payable. A Subject who misses their slot isn't guaranteed a reschedule; any make-up sitting depends on the Photographer's availability.Warranties & Indemnity
The Photographer warrants the Images are her original work. The Client warrants it has the consents in Section 8. Each Party indemnifies the other for claims arising from its own breach.Liability
The Photographer's total liability is limited to the fee paid. If Images are lost or unusable due to equipment failure or causes beyond her reasonable control, her obligation is limited to reshooting where practicable or refunding the fee.General
Governed by the laws of Ontario. This is the entire agreement on its subject and supersedes prior discussions. Changes must be in writing and signed by both Parties. If any provision is unenforceable, the rest stays in effect.Agreed & Accepted
