LIABILITY The Mighty Studio is not responsible for anything: attendees, the venue, equipment provided by others, or the use of the images. UHN covers all of it and pays for any damage to The Mighty Studio's equipment. This summary is for convenience only. The full terms below govern. 1. AGREEMENT AND PROJECT TERMS 1.1 This Agreement is between The Mighty Studio, owned by Hailey York (the "Photographer"), and University Health Network ("UHN" or the "Client"), which signs on its own behalf and on behalf of all of its staff, patients, guests, volunteers, sponsors, and anyone else attending or photographed at the event (together, the "Attendees"). 1.2 Services. The Photographer is engaged as an independent contractor to operate a photo booth at Grand Cru on October 28, 2026, at the Enercare Centre, Toronto, from 11:00 a.m. to 7:00 p.m. (the "Event"), and to deliver an online gallery as described in Section 3. Video is not included. 1.3 Project Terms. Schedule A and any other details agreed in writing, including by email or text message, are the "Project Terms" and form part of this Agreement. Where they conflict, this Agreement governs unless the Project Terms expressly change it and the Photographer has confirmed the change in writing. 1.4 Authority. The individual signing for the Client confirms they have authority to bind UHN and to give the consents and confirmations in this Agreement on behalf of the Attendees. 1.5 Precedence. This Agreement governs over any purchase order, vendor terms, or other document issued by the Client, unless the Photographer expressly agrees otherwise in writing. 2. COSTS AND HOURS 2.1 Event costs. All costs connected with the Event, including rentals, backdrops, props, printing, venue, staffing, parking, permits, and any third-party vendors, are paid by the Client and are not the Photographer's responsibility. 2.2 Hours. The booth operates from 11:00 a.m. to 7:00 p.m. Coverage beyond 7:00 p.m. happens only if the Photographer agrees on the day. 2.3 Photographer unable to attend. If the Photographer cannot attend the Event for any reason, she has no liability to the Client or the Attendees. 3. CREATIVE CONTROL, EDITING, AND DELIVERY 3.1 Artistic integrity. The Photographer has sole discretion over composition, lighting, image selection, editing, and final presentation, in her established style. The Client may not require changes to that style. 3.2 Editing. Standard editing is included: colour correction, tonal adjustments, and light blemish removal. Additional retouching is billed at $150 per hour plus HST, one hour minimum, paid before work begins. 3.3 Gallery. The Client will receive an online gallery of all usable images within 7 days of the Event. "Usable" is determined by the Photographer and excludes duplicates, test shots, missed focus, closed eyes, and technical failures. No specific number of images is guaranteed. 3.4 Delivery. High-resolution JPEG files via Pixieset or a comparable platform, available for six (6) months, after which the gallery may be permanently removed. The Client is responsible for downloading and backing up the images. 3.5 No RAW files. RAW files, original captures, and unedited images are never provided or shown. 3.6 Complete on delivery. Once the gallery is delivered, the Photographer's obligations are complete. Anything requested after that, including additional edits, re-uploading an expired gallery, or extra files, is billed for the Photographer's time at her hourly rate, paid before work begins. 3.7 Volume. The Photographer will photograph Attendees as the flow of the Event allows and does not guarantee that every Attendee is photographed. 3.8 Subjective preference. Creative dissatisfaction or personal preference is not grounds for any claim against the Photographer. 4. COPYRIGHT, LICENSE, AND CREDIT 4.1 Ownership. The Photographer owns all copyright in all images, in perpetuity. Nothing in this Agreement transfers copyright. The Photographer does not waive her moral rights. 4.2 License. On delivery of the gallery, the Client receives a non-exclusive, non-transferable license to use the delivered images for its own internal communications, website, organic social media, and non-paid promotional materials, and to share them with Attendees for personal use. 4.3 Beyond the license. Paid advertising, print advertising, fundraising campaigns, sponsor use, or any third-party use requires a separate written license and fee. 4.4 Limits. The Client and Attendees may not sell or sublicense the images, alter them beyond cropping or resizing, or use them to train any AI system. 4.5 Credit required. Every use of the images by the Client must credit The Mighty Studio. In all written materials, including print, digital, website, newsletters, reports, and press, the credit is "Photos by Hailey York of The Mighty Studio." On all social media, the credit is a tag of @the.mightystudio on the post itself. Credit is required on every use, every time. 4.6 Failure to credit. Any use of the images without the required credit is a breach of this Agreement and is treated as unlicensed use under Section 4.7. On notice from the Photographer, the Client will add the credit or remove the use within 48 hours. 4.7 Infringement. Unlicensed use is copyright infringement. The Client will pay the Photographer's current licensing fees for any such use, in addition to any other remedy. 5. RELEASES, PRIVACY, AND PHOTOGRAPHER'S USE 5.1 Releases. The Client confirms it has obtained, or will obtain before the Event, all consents and releases needed from every Attendee who is photographed, including a parent's or guardian's consent for any minor, and is solely responsible for them. 5.2 Privacy. The Client is solely responsible for compliance with all privacy and health information laws and policies that apply to the Event and its Attendees, including any rules about photographing patients. The Client will tell the Photographer in writing before the Event of anyone who must not be photographed or published. 5.3 Photographer's use. The Client, on behalf of itself and the Attendees, consents to the Photographer using the images, and the likenesses in them, on social media and in her portfolio and website, in perpetuity and without compensation. 5.4 Hold period. If the Client needs the Photographer to wait before posting, the hold date must be in Schedule A. 6. CLIENT RESPONSIBILITIES 6.1 The Client is responsible for the venue, permits, power, setup space, security, crowd management, and the conduct of all Attendees. 6.2 The Client will provide a day-of contact who is present for the full Event. 6.3 Delays caused by the Client, Attendees, the venue, or vendors count toward booth hours. 6.4 The Photographer may pause or end the booth if conditions are unsafe or anyone behaves abusively or inappropriately toward her or her team. 6.5 The Client will pay to repair or replace any of the Photographer's equipment damaged, lost, or stolen at the Event. 7. LIABILITY AND INDEMNITY 7.1 Assumption of risk. The Client assumes full responsibility for itself, the Attendees, the venue, and all property at the Event, and for any injury, loss, or damage connected with them. 7.2 No liability. To the maximum extent permitted by law, the Photographer and The Mighty Studio have no liability of any kind for any injury, loss, damage, privacy claim, or distress in connection with this Agreement, the Event, the photo booth, or the images, including any indirect or consequential damages. 7.3 Indemnity. The Client will defend, indemnify, and hold harmless the Photographer and The Mighty Studio from all claims, losses, and legal costs arising from the Event, the Attendees, the venue, missing or defective releases or consents, privacy or health information laws, the use of the images by the Client or anyone it shares them with, or the Client's breach of this Agreement. 7.4 Technical failure. If images are lost or damaged through equipment malfunction, data loss, or circumstances beyond her control, the Photographer's only obligation is reasonable efforts to remedy. No compensation is owed. 7.5 Force majeure. No party is liable for delay or failure caused by events beyond its reasonable control. 8. GENERAL 8.1 This Agreement is governed by the laws of Ontario and the federal laws of Canada that apply there. The parties submit to the courts in Toronto. 8.2 This Agreement and the Project Terms are the entire agreement between the parties. Changes must be in writing, including by email or text message, and confirmed by the Photographer. 8.3 Sections 4, 5, and 7 survive the end of this Agreement. 8.4 If any provision is found unenforceable, it will be enforced to the maximum extent permitted, and the rest of the Agreement remains in effect. 8.5 A party's failure to enforce any term is not a waiver of that term. 8.6 This Agreement may be signed electronically and in counterparts.
