PHOTO AGREEMENT
Hailey York of The Mighty Studio

This agreement applies to all photographs and related images (the "Images") created by Hailey York of The Mighty Studio (the "Photographer") on [shoot date] in connection with the collaboration between Jamie Milne, Pottery Barn, and Ali Budd (collectively, the "Participants").

In consideration of the Images being provided, the Participants agree to the following terms:

1. PERMITTED USE

The Participants may use the Images for purposes directly related to this collaboration, including publicity, editorial coverage, public relations, website features, portfolio use, and social media promotion, subject to all terms of this Agreement.

2. MANDATORY CREDIT

Every use of every Image must include credit to the Photographer. There are no exceptions.

The required credit is:

"Photo by Hailey York of The Mighty Studio"

This credit must accompany all uses of the Images, including but not limited to social media, websites, digital publications, print publications, marketing materials, press materials, presentations, and promotional content.

Failure to provide the required credit constitutes a breach of this Agreement.

3. SOCIAL MEDIA REQUIREMENTS

Any social media post containing the Images must:

• Include the credit "Photo by Hailey York of The Mighty Studio"; and
• Tag @themightystudio on the post itself.

A credit in the caption alone does not satisfy this requirement. The tag must remain attached to the post for as long as the post remains public.

4. NO SALE, LICENSING, OR COMMERCIAL EXPLOITATION WITHOUT WRITTEN APPROVAL

The Images may not be sold, licensed, sublicensed, transferred, distributed for compensation, provided to third parties, monetized, commercially exploited, or otherwise used for profit without the Photographer's prior written consent.

If any commercial opportunity involving the Images arises, including but not limited to advertising campaigns, paid media, sponsorships, brand partnerships, licensing arrangements, product packaging, merchandising, resale, publication for profit, stock photography use, or any other revenue-generating activity, the Participants must first consult the Photographer and obtain written approval before any such use occurs.

Any approved commercial use shall require a separate written agreement and payment of a licensing fee to the Photographer, negotiated and agreed upon in advance.

5. OWNERSHIP AND COPYRIGHT

The Photographer retains sole and exclusive ownership of the Images and all copyrights and intellectual property rights associated with them.

Nothing in this Agreement transfers ownership of the Images to any Participant.

The Photographer reserves the unrestricted right to use, reproduce, publish, display, market, advertise, license, distribute, sell, and otherwise exploit the Images for any lawful purpose.

7. NO COMPENSATION

The Participants acknowledge that no additional compensation, royalties, commissions, residuals, licensing fees, or other payments shall be owed by the Photographer for any use, licensing, publication, sale, or other exploitation of the Images.

8. SUCCESSORS AND AUTHORIZED USERS

All rights granted to the Photographer under this Agreement extend to the Photographer's employees, contractors, agents, representatives, licensees, successors, assigns, and any person or entity authorized by the Photographer.

9. GOVERNING LAW

This Agreement shall be governed by and interpreted in accordance with the laws of the Province of Ontario and the laws of Canada applicable therein.

10. ENTIRE AGREEMENT

This Agreement constitutes the entire agreement between the parties regarding the Images and supersedes all prior discussions, understandings, or agreements relating to the Images.

By signing below, each Participant acknowledges that they have read, understood, and voluntarily agree to the terms of this Agreement.IMAGE APPROVAL AND USAGE AGREEMENT

Between The Mighty Studio Inc. and Ali Budd Interiors

This Agreement is entered into between The Mighty Studio Inc. ("The Mighty Studio") and Ali Budd Interiors ("Designer"), together the "Parties," regarding the photographs taken by The Mighty Studio of the Pottery Barn nursery project completed in collaboration with the Designer and an influencer partner (the "Images").

Purpose

The Mighty Studio will deliver final TIFF files of the Images to the Designer for the purpose of editorial submission to interior design publications. This Agreement sets out how the Images may be edited, reviewed, and used so the integrity of The Mighty Studio's photographic work is protected throughout that process.

Approval Required Before Edits Are Finalized

The Designer may retouch or color correct the Images for the purpose of publication submission. Before any edited version of an Image is sent to a publication, printer, or any third party, the Designer must send the edited file to The Mighty Studio for review and written approval. Written approval may be given by email.

Review Window

The Mighty Studio will review and respond to submitted edits within 3 business days of receipt. If The Mighty Studio does not respond within that window, the Designer may follow up by email to confirm before proceeding.

What This Protects

The Mighty Studio's review is meant to confirm that edits maintain the integrity of the original photographic work, including:

1. True color, light, and tone

2. Composition and framing

3. No alterations that misrepresent the space, the work, or the photograph itself

If an Image Is Sent Without Approval

If an edited Image is sent to a publication, printer, or any third party without The Mighty Studio's written approval, The Mighty Studio's license for the Designer to use that Image is immediately revoked. The Mighty Studio may require the Image be removed from any pending or future use.

Ownership

The Mighty Studio retains full copyright ownership of the Images. This Agreement grants the Designer a license to use the Images for the purpose of editorial submission as described above. It does not transfer ownership or grant rights for any other use, including advertising, paid promotion, or resale, without a separate written agreement.

Term

This Agreement applies to the Images from this nursery project and remains in effect until the publication process is complete or the Parties agree in writing to end it.
